1. Nature of Our Services

MVRCK AS is a strategic advisory firm.

We provide services including, but not limited to:

  • Investor readiness assessments

  • Pre–due diligence diagnostics

  • Capital strategy advisory

  • Strategic positioning and documentation support

  • Executive and board-level advisory

All services are delivered based on professional judgment, experience, structured methodologies, and the information provided by the client.

We provide strategic advice — not execution, management control, or operational responsibility.

2. No Guarantees of Outcomes

Business performance, fundraising outcomes, valuation levels, operational results, and strategic success depend on numerous external factors beyond our control.

While we aim to create measurable value in every engagement, MVRCK AS does not guarantee:

  • Successful fundraising

  • Secured investment

  • Specific financial results

  • Business growth targets

  • Operational or valuation outcomes

All decisions and execution remain the sole responsibility of the client and/or relevant investors.

3. Regulatory Status

MVRCK AS provides strategic advisory services only.

MVRCK AS is not a licensed investment firm and does not provide regulated investment services under applicable Norwegian financial legislation.

Specifically, MVRCK AS does not:

  • Provide personal investment advice to investors

  • Recommend specific financial instruments to third parties

  • Receive or transmit investment orders

  • Execute transactions in financial instruments

  • Act as a broker, placement agent, or intermediary

Where we support clients in investor readiness, capital strategy, or fundraising preparation, our role is limited to strategic advisory, analytical preparation, and documentation support.

All investment decisions are made independently by the relevant parties.

4. Intellectual Property

All proprietary frameworks, methodologies, scorecards, analytical models, written materials, presentations, and strategic insights developed or shared by MVRCK AS remain the intellectual property of MVRCK AS unless otherwise agreed in writing.

Clients may use delivered materials internally within their own organization.

Republishing, redistributing, commercializing, reverse engineering, or reselling MVRCK intellectual property without prior written consent is prohibited.

5. Use of Website and Public Content

All content published by MVRCK AS — including articles, reports, frameworks, and commentary — is provided for informational purposes only and does not constitute legal, financial, or investment advice.

You agree not to:

  • Attempt unauthorized access to our systems

  • Scrape or systematically extract proprietary content

  • Misrepresent our work or methodologies

  • Use our materials in bad faith

Professional integrity is expected in all interactions.

6. Engagement Discretion and Termination

MVRCK AS reserves the right to decline, suspend, or terminate any advisory relationship at its discretion.

This may occur in cases including, but not limited to:

  • Withholding or misrepresentation of critical information

  • Unethical or unlawful conduct

  • Breach of professional trust

We only engage where there is mutual transparency, strategic alignment, and professional respect.

7. Limitation of Liability

To the fullest extent permitted by applicable law, MVRCK AS shall not be liable for indirect, incidental, consequential, or speculative losses arising from the use of our website, content, or advisory services.

Our total liability, where applicable, shall in any event be limited to the fees paid for the specific engagement giving rise to the claim.

8. Governing Law

These terms are governed by and construed in accordance with Norwegian law. Any disputes shall be subject to the jurisdiction of Norwegian courts.

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agreed to these terms.

Specific advisory mandates may be governed by separate written agreements, which shall take precedence over these general terms where applicable.
